We work across corporate, real estate, and general counsel matters, with deep experience advising family offices, high-net-worth individuals, and hospitality businesses. Each engagement is led directly by the principal, with the discretion and continuity our clients expect.

Corporate

We represent public and private companies, private equity firms, asset managers, and family offices in the full range of corporate transactions, including mergers and acquisitions, debt and equity financings, joint ventures, and company formations. We also handle ongoing corporate governance, intercompany matters, and the day-to-day decisions that arise as a business grows.

Commercial Contracts

We draft, negotiate, and review the agreements that govern how our clients do business: supply and distribution agreements, services and consulting contracts, licensing, manufacturing, vendor and customer agreements, confidentiality and IP assignments, employment and independent contractor agreements, and the bespoke commercial arrangements that fall outside any standard form. Our work emphasizes clarity, risk allocation that fits the deal, and language a client can actually live with.

Real Estate

We advise owners, developers, investors, and lenders across all aspects of commercial real estate, including acquisitions and dispositions, debt and equity financings, ground and space leasing, development and construction, joint ventures, and disputes involving title, easements, and use rights. Our practice spans office, retail, industrial, multifamily, hospitality, and mixed-use assets.

Hospitality

We advise restaurants, hotels, and hospitality groups across the full life cycle of the business, from entity formation and capital raising through licensing, leasing, operating agreements, expansion, and exit. We work with operators, investors, and brand owners, and understand the operational rhythms that make hospitality businesses distinct.

General Counsel

For clients without a full-time legal team, we serve as outside general counsel, providing the kind of day-to-day judgment and guidance that allows business leaders to make decisions with confidence. Engagements are tailored to the rhythm of the business, ranging from project-based work to ongoing monthly retainers.

Disputes

We counsel clients navigating disputes of all kinds. We assess exposure, develop resolution strategy, conduct pre-suit negotiations, and coordinate with specialist counsel as needed when matters require formal proceedings. Our role is to keep the business focused while the dispute is managed, and to deliver resolutions that protect our clients’ interests on terms they can live with.

Family Offices & HNWI

We provide transactional and advisory services to family offices, ultra-high-net-worth individuals, and the entities they hold. Our work spans investment transactions, real estate, operating company governance, and the cross-cutting commercial matters that arise across a family enterprise. We work alongside trust and estate counsel, accountants, and other advisors to deliver a coordinated outcome.

Daniel H. Brumer

Daniel H. Brumer is the founding principal of DH Brumer PC, where he combines a high level of sophistication with practical business acumen to provide trusted advice and personalized service. He represents public and private companies, private equity firms, asset managers, family offices, and real estate owners, developers, investors, and lenders in all aspects of corporate, commercial, and real estate transactions. He also serves as outside general counsel to many of his clients, providing day-to-day business advice and guidance.

Daniel began his legal career as an attorney at O’Melveny & Myers LLP, the oldest law firm in Los Angeles, and is a former adjunct professor at the USC Gould School of Law, where he taught contract drafting and negotiation, corporate finance, dealmaking, and business for lawyers. He was previously a senior advisor to former Los Angeles City Councilman Paul Krekorian, and a land use deputy to former Councilman Tom LaBonge.

Daniel received his J.D. from Columbia Law School, where he was a Harlan Fiske Stone Scholar and a James Kent Scholar for high academic honors, and earned a B.A. in economics from the University of Maryland, where he was named to the Distinguished Dean’s List and was a member of the Burns Academy of Leadership. He is a past founding director and corporate secretary of Crown Preparatory Academy, a Los Angeles Unified public charter school, and holds a California real estate broker license.
